Payment Processing Program Terms

One of the services offered by DocNetwork is a fee collection program described here (the “Payment Processing Program”).  The Payment Processing Program provides the ability for the Organizations to establish registration fees and other miscellaneous payments (“Fees”) and enable Individuals to make Fee payments.  When we use the word “you” in these Payment Processing Program Terms, it refers to any user, regardless of whether he or she is an Individual or Organization, while if we use one of those specific terms, it only applies to that category of user.  If you’re agreeing to these Payment Processing Program Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).

These terms of service (the “Payment Processing Program Terms”) are a binding contract between you (“you” or “your”) and DocNetwork (“Company,” “we,” “us,” or “our”).  You must agree to and accept all of the Payment Processing Program Terms, or you don’t have the right to use the Payment Processing Program. Your use of the Payment Processing Program in any way means that you agree to all of these Payment Processing Program Terms, and these terms will remain in effect while you use the Payment Processing Program Terms.  These Payment Processing Program Terms include the provisions herein, as well as those in the Privacy Policy and the Company Terms of Use.  Terms not separately defined herein shall have the meaning set forth in the Company Terms of Use.  If you are an Organization who has elected to participate in our Payment Processing Program pursuant to a separate Client Agreement with DocNetwork (“Client Agreement”), the terms of that Client Agreement shall prevail in the event of any conflict of terms between these Payment Processing Program Terms and the Client Agreement. 

As an Individual, you agree that any amounts charged by an Organization (each, a “Charge”) are established by the Organization in its sole discretion.  Charges include Fees and other applicable processing fees, surcharges and taxes. You are responsible for reviewing the Organization’s fee policies. Where required by law, DocNetwork will collect applicable taxes.  As between you and DocNetwork, all Charges are non-refundable. Any claim for a refund of any Charges is solely between you and the Organization. We may process refunds on behalf of the Organization, but only if such refunds are initiated and approved by the Organization. 

Should the Charges exceed the total funds on deposit in your account, you may be subject to overdraft or other charges by the bank issuing your debit or check card, and we may charge additional fees for ACH returns or disputed credit charges.  We cannot be held responsible for the foregoing charges and, if applicable, are unable to assist you in recovering them from your issuing bank.

As an Organization, you will receive applicable Charges paid by Individuals through the Payment Processing Program (“Payouts”).  You acknowledge and agree that such Payouts shall not include any interest and will be net of any amounts that we are required to withhold by law.  A Payout will be initiated when your Payment Processing Program balance exceeds five hundred dollars ($500), and DocNetwork reserves the right to withhold Payout payments until such threshold is met.  Please allow 5 to 7 business days for such Payouts to be deposited in your account. We reserve the right to withhold all or a portion of the Charges if we believe that you have attempted to defraud or abuse DocNetwork or DocNetwork’s payment systems.  You agree to pay to DocNetwork the payment processing fees set forth in your Client Agreement, which are nonrefundable. In addition, we will not refund Charges to Individuals unless such refund is initiated and approved by you.
